This licence governs each dataset extract ("Extract") delivered by Trilatic, the trade name of Ripplarity Inc, a Delaware corporation, under the price ladder published at trilatic.com/data/hospital-rates. By checking the licence acceptance box on the order form you agree to the terms below on behalf of the ordering organisation ("Licensee").
Trilatic grants Licensee a non-exclusive, non-transferable, perpetual licence to use the Extract for Licensee's own internal business, research, journalistic, or advisory purposes. Trilatic crawled the underlying rows from files hospitals are required to publish, free of charge and open to automated download, under 45 CFR 180.50; Trilatic licenses what it indexed from those publications, not a new fact about pricing.
The Extract may be used to analyse, report on, cite, or advise on hospital pricing. Findings derived from the Extract may be published or cited, provided any such publication attributes the underlying rates to the hospital's own published machine-readable file, not to Trilatic as the source of the rate itself.
Licensee may not resell, sublicense, or redistribute the raw Extract, in whole or in part, to any third party, whether for a fee or free of charge. Derived aggregates, summaries, or analyses that do not permit reconstruction of the underlying row-level data are not "raw rows" and are not restricted by this clause.
Any public use of the Extract's underlying facts should note that the rates were published by the named hospital under 45 CFR 180.50 and indexed by Trilatic from that publication.
The Extract is provided "as is." It reflects the hospital's published file as of the stated crawl date and nothing more. Trilatic makes no warranty that the hospital's publication was itself accurate, current, or complete, and disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.
Trilatic does not sell, and this licence is never granted to, a hospital, health system, physician group or other provider; a health plan or issuer; or a third-party administrator, billing administrator, or other entity administering claims or benefits on a plan's or issuer's behalf ("Excluded Buyer"). An order from an Excluded Buyer, or from an organisation that appears on Trilatic's counterparty refusal list, is refused before any Extract is prepared or delivered.
Trilatic may terminate this licence, without refund of amounts already earned for Extracts already delivered, if Licensee breaches the redistribution restriction or is later found to be an Excluded Buyer. Termination does not affect Licensee's right to keep and use Extracts already lawfully delivered for the field of use above, except that no further redistribution is permitted after termination.
Every order is recorded on Trilatic's counterparty ledger. If Trilatic is later certified as a federal Independent Dispute Resolution entity under 45 CFR 149.510, it will recuse from any dispute involving a Licensee recorded under this licence.
